Terms and Conditions
Effective from: 10 August 2026. These Terms replace any prior version of the Sitehotelminder Terms and Conditions published before that date. They govern every order placed on sitehotelminder.org and every use of the Modules distributed through it.
1. Parties and scope
These Terms and Conditions (the «Terms») form a binding contract between Sitehotelminder GmbH, a limited liability company organised under the laws of Germany, Handelsregister HRB 234567, registered with the Handelsregister B, Amtsgericht Berlin-Charlottenburg under HRB 234567, with its registered seat at Musterstraße 42, 10115 Berlin, Deutschland, represented by its Director Thomas Bergmann («Sitehotelminder», «we», «us» or the «Provider»), and any natural or legal person, whether acting as a consumer or in a professional capacity, who browses, orders, purchases, activates or otherwise uses any Module distributed through the Sitehotelminder online marketplace (the «Customer», the «Buyer» or «you»).
By ticking the acceptance checkbox at checkout, or by activating any Module on a SiteMinder account, the Customer confirms that it has read, understood and accepts these Terms in full, together with the Privacy Policy, the Cookie Policy, the Refund Policy and, where the Customer processes personal data through a Module, the Data Processing Agreement. The Customer further confirms that it has the legal capacity to enter into a binding contract under the law applicable to it.
2. Definitions
- Module means any software extension, connector, plug-in, dashboard, API integration or automation script offered on the Sitehotelminder catalogue and designed to interoperate with a live SiteMinder account through the official SiteMinder API.
- Order means the act by which the Customer validates its cart on sitehotelminder.org and expressly accepts these Terms.
- Client Area means the authenticated area of sitehotelminder.org accessed by the Customer through a passwordless email magic link.
- Subscription means the recurring monthly right of use granted for a Module, invoiced in advance in EUR.
- SiteMinder Account means the licensed instance of the SiteMinder booking engine, channel manager or PMS held by the Customer directly with SiteMinder Limited
3. Independence and non-affiliation with SiteMinder Limited
Sitehotelminder is an independent third-party marketplace. Sitehotelminder is not affiliated with, sponsored by, endorsed by, controlled by or operated by SiteMinder Limited or any of its parent, sister or subsidiary companies. The SiteMinder name, the SiteMinder logo and all associated marks are the exclusive property of their respective owners and are used descriptively for the sole purpose of indicating technical compatibility of the Modules with the SiteMinder platform. Nothing in these Terms shall be construed as creating a partnership, agency, joint venture, franchise or reseller relationship between Sitehotelminder and SiteMinder Limited
The Customer acknowledges that use of any Module requires an active SiteMinder Account, subscribed directly from SiteMinder Limited or from a duly authorised reseller and paid for separately. Sitehotelminder receives no commission, kickback or referral fee from SiteMinder Limited, and vice versa.
4. Client Area access — passwordless authentication
Access to the Client Area is granted through a passwordless magic-link workflow. The Customer requests a sign-in link by entering the email address associated with the Order; a single-use link, valid for fifteen minutes, is then delivered to that address. No passwords are created, stored or transmitted by Sitehotelminder. The Customer is responsible for keeping its email account secure, for revoking active sessions if a device is lost or compromised, and for notifying support@sitehotelminder.org without undue delay of any suspected unauthorised access.
5. Modules and Subscriptions
Modules are supplied as monthly Subscriptions, save where the catalogue expressly identifies a one-off perpetual licence (for example, the Import Extension for legacy PMS data, invoiced as a single fee). Subscriptions renew automatically on the anniversary of the initial activation date and may be cancelled at any time from the Client Area, without notice and without giving reasons, with effect at the end of the then-current billing cycle. No pro-rated refund is due on ordinary cancellation, subject to the Refund Policy.
Sitehotelminder may add, retire or replace Modules from its catalogue at any time. Any material change to the technical scope, pricing or functionality of a Subscription already held by the Customer will be notified by email at least thirty (30) days before it takes effect. The Customer may terminate the affected Subscription free of charge before the change comes into force.
6. Order acceptance and formation of contract
The Order process is: (i) the Customer selects Modules and validates its cart; (ii) the Customer supplies billing details and, where relevant, a valid EU intra-community VAT number; (iii) the Customer accepts these Terms; (iv) the Customer confirms the Order and receives, within five minutes, a secure payment link by email. The contract is formed when Sitehotelminder receives confirmation of full payment. A confirmation email listing the Modules ordered, the applicable VAT and the total charged is retained by the Customer as proof of contract.
7. Prices, VAT and payment
All prices are quoted in euros (EUR), exclusive of VAT for B2B Orders bearing a valid intra-community VAT number and inclusive of VAT for all other Orders. VAT is invoiced under the EU One-Stop-Shop regime pursuant to Directive 2006/112/EC. Payments are processed through our payment service provider, Zenthoryx (EUR-NX rail); no card data is stored on Sitehotelminder servers at any time. Accepted methods are Visa, Mastercard and SEPA credit transfer. Recurring SEPA Direct Debit (SDD) may be enabled on request for monthly Subscriptions. Payment links expire seventy-two (72) hours after issue; an Order that remains unpaid at expiry is deemed cancelled and the cart released.
On payment failure, one automated retry is attempted on day 3 and a second on day 7. After three consecutive failures, the affected Subscription is suspended and the Customer has thirty (30) days to remedy the default before the account is closed.
8. API credentials — Customer responsibility
Each Module is activated by supplying the Customer’s own SiteMinder API key from the Client Area. The Customer is solely responsible for issuing, rotating and revoking that key from the SiteMinder back office, for the security of the credentials, and for any use, authorised or not, that is made of them. Sitehotelminder stores API credentials encrypted at rest using AES-256 and transmits them only over TLS 1.3. The Customer authorises Sitehotelminder to call the SiteMinder API on its behalf strictly within the functional scope of the active Modules and for the duration of the Subscription.
9. Service level commitments
Sitehotelminder targets an uptime of 99.5% measured monthly, excluding scheduled maintenance windows announced at least seven days in advance, third-party outages beyond our reasonable control, and outages attributable to the SiteMinder API. Where actual uptime falls below 99.0% in a given calendar month, the Customer is entitled to a downtime credit equal to 10% of the monthly fee for the affected Module, credited to the next invoice, as further described in the Refund Policy.
10. Warranties and disclaimers
Sitehotelminder warrants that the Modules will materially conform to the descriptions published on the catalogue at the time of Order and that reasonable technical means will be deployed to keep them functional. Except as expressly provided, the Modules are supplied «as is» and Sitehotelminder disclaims, to the fullest extent permitted by applicable law, all other warranties, whether express or implied, including fitness for a particular purpose, uninterrupted operation, completeness of data synchronised through the SiteMinder API, or compliance of the Customer’s own operations with local hotel, tax or data-protection law.
11. Liability cap
To the fullest extent permitted by law, the aggregate liability of Sitehotelminder arising out of or in connection with these Terms, whether in contract, tort (including negligence) or otherwise, shall not exceed the total amount actually paid by the Customer to Sitehotelminder for the affected Module during the twelve (12) months preceding the event giving rise to the claim. Indirect, incidental, consequential, exemplary and punitive damages, loss of revenue, loss of profits, loss of goodwill, loss of business opportunity and loss of data not attributable to Sitehotelminder are expressly excluded. Nothing in these Terms limits liability that cannot lawfully be limited, including for wilful misconduct or gross negligence.
12. Term, suspension and termination
These Terms enter into force on the day the Order is confirmed and remain in force for the duration of any active Subscription. Either party may terminate for material breach that remains uncured for thirty (30) days after written notice. Sitehotelminder may suspend a Subscription with immediate effect where required by law, by a court or supervisory authority, in the event of fraud, or where continued use presents a material security risk. Upon termination, access to the Client Area and to the Modules is disabled and the Customer’s data is handled in accordance with the Privacy Policy and the Data Processing Agreement.
13. Right of withdrawal for EU consumers
Under German consumer protection law (UWG) and EU Directive 2011/83/EU, a Customer acting as a consumer has fourteen (14) calendar days from the conclusion of the contract to withdraw without giving reasons and without penalty, by any unambiguous statement sent to support@sitehotelminder.org. This right does not apply where the Customer expressly consents to the immediate performance of a digital service and waives its right of withdrawal by activating a Module before the fourteen-day period expires, in accordance with Article 16(m) of Directive 2011/83/EU.
14. Force majeure
Neither party is liable for any failure or delay in performing its obligations to the extent that the failure or delay is caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, epidemics, government action, general internet outages, and the failure of upstream providers including the SiteMinder API. The affected party shall notify the other without undue delay and both parties shall use reasonable endeavours to resume performance.
15. Assignment
The Customer may not assign or transfer any of its rights or obligations under these Terms without our prior written consent. Sitehotelminder may assign these Terms to an affiliate or in connection with a merger, acquisition or sale of assets, provided that the assignee assumes all obligations owed to the Customer.
16. Notices
All notices to Sitehotelminder must be sent to support@sitehotelminder.org with a copy to the registered seat at Musterstraße 42, 10115 Berlin, Deutschland. All notices to the Customer are sent to the email address on file in the Client Area. A notice is deemed received on the business day following dispatch.
17. Governing law and jurisdiction
These Terms are governed by the laws of Germany, in particular the BGB (Law of Obligations), the TDDDG (Law on Electronic Commerce), the UWG (Consumer Protection Act) and the BDSG (Personal Data Protection Act). The General Data Protection Regulation (Regulation (EU) 2016/679) applies to any processing of personal data within its territorial scope. Any dispute arising out of or in connection with these Terms falls within the exclusive jurisdiction of the Amtsgericht Berlin-Mitte (Basic Court of Berlin), without prejudice to any mandatory rule of the consumer’s country of residence. Before commencing proceedings, the parties shall attempt to resolve the dispute amicably, including through the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
18. Amendments to these Terms
Sitehotelminder may amend these Terms from time to time. The revised version is applicable to Orders placed on or after the date of publication on sitehotelminder.org. The version in force on the date of the Order remains applicable to that Order, save for any mandatory legal provision that must be applied immediately. Where an amendment materially affects an existing Subscription, the Customer is notified by email at least thirty (30) days before it enters into force and may terminate the Subscription free of charge before the change takes effect.
